Welcome to Abacus in the UK. Below are the rules or “Terms” that govern the use of this web site (the “Site”). By using or visiting the Site, you agree to be bound by these Terms and to follow these Terms and all applicable laws and regulations governing the Site. Abacus, its subsidiaries and/or affiliates, reserve the right to change these Terms at any time, effective immediately upon posting on the Site. If you violate these Terms, Abacus may terminate your use of the Site, bar you from future use of the Site and/or take appropriate legal action against you.

You agree that you are responsible for any use of information and belonging software, which are made available on the Site.

You agree that you are only authorized to visit, view and to retain a copy of pages of this Site for your own personal use, and that you shall not duplicate, download, publish, modify or otherwise distribute the material on this Site for any purpose other than as set forth herein.

Copying, reproduction and redistribution of information, software or any part of these are forbidden according to prevailing statutory law and breach can result in civil and/or criminal penalties. As far as possible, Abacus reserves the right to take legal proceedings against any misuse and/or wrongful use.

The Site is thus only on the Internet with a view to communicating product information, to giving the opportunity of making rough calculations and to strengthen Abacus' market position.

By using the Site to search for or link to another site, you agree and understand that you may not make any claim against Abacus for any direct or indirect damages resulting from your use of the Site to obtain search results or to link to another site.

Further, Abacus is without responsibility for the link, the contents, changes in and/or on third parties’ sites and/or update of such third party sites. The links must only be considered as a service from Abacus, and Abacus disclaims liability for the use of third party sites.

Access & Interference

You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy our Web pages or the content contained therein, to access or capture data, or for any other unauthorized purpose without the prior written consent from Abacus. You agree that you will not use any device, software or routine to interfere or attempt to interfere with the proper working of the Site. Illegal and/or unauthorized uses of the Site, including, but not limited to, unauthorized framing of or linking to the Site, or unauthorized use of any robot, spider or other automated device on the Site, will be investigated and appropriate legal action will be taken, including without limitation, civil, criminal and injunctive redress.

You agree that you will comply with any security processes and procedures (such as passwords) specified by Abacus with respect to access to or use of the Site. Further, you agree not to access or attempt to access any areas on or through the Site, which are not intended for general public access, unless you have been provided with written authorization to do so by Abacus.

You understand and agree that in Abacus' sole discretion, and without prior notice, Abacus may terminate your access to the Site or exercise any other remedy available if Abacus believes that your use is (i) inconsistent with these Terms or (ii) has violated the rights of Abacus, another user or the law.

You agree that monetary damages may not provide a sufficient remedy to Abacus for violations of these Terms and conditions and you consent to injunctive or other equitable relief for such violations.

Abacus may release user information about you if required by law, or if the information is necessary or appropriate to release to address an unlawful or harmful activity.

Copyright

The content and the software on this Site is the property of Abacus and/or its suppliers and is protected by prevailing statutory Copyright law and must only be used as a guide of information and models of rough calculations by the users of the Site. The users of the Site must not use the information and software for commercial purposes. Abacus and/or suppliers of the software to the homepage will precede any violation of this.

The software used on the Site is and/or can be copyrighted for Abacus and/or suppliers of the software.

Trademark

The Abacus name and logo and all related product and service names, design marks and slogans are trademarks, service marks or registered trademarks of Abacus and may not be used in any manner without the prior written consent of Abacus. Other products and service marks are trademarks of their respective owners.

Limitation of Liability

Abacus disclaims any liability concerning the correctness, the practicability and the applicability of the submitted information and/or calculations resulted from the use of the information and software on the Site. Abacus disclaims any liability as a result of errors in software, unintentional consequences/results on the user’s system, errors in the given information and moreover disclaims liability in the relations, in which the information and software are used.

The exclusion of liability also applies for direct as well as indirect damages including consequential damages, which are caused by the use of information and/or software.

Abacus is, among other things but not limited hereto, without responsibility for loss of use, data and profits, including neither directly nor indirectly as a consequence of the use of software. Abacus is not responsible for possible transmission of virus in connection with the use of information and/or software irrespective if this happens directly by Abacus' participation and/or by a third party’s abuse or misuse of Abacus' data base/software.

Abacus disclaims liability for errors and inaccuracies in information and/or in software including liability for typographical errors. Abacus reserves the right at any time and without notice to update and to make corrections and changes concerning the information and/or software on the Site. It is your responsibility to verify any information before relying on it.

The above-mentioned limitation of liability is not comprehensive as Abacus limits its liability as far as possible according to British and International law; thus the use of information and software on the Site is completely on the user’s own liability and risk.

Abacus does not promise that the Site will be error-free, uninterrupted, nor that it will provide specific results from use of the site or any content, search or link on it.

Disputes

If there is any dispute about or involving the Site, by using the Site, you agree that the dispute will be governed by the laws of the UK without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the courts of the UK.
